In the last six months, the data center has stopped behaving like a category of commercial real estate and started behaving like a category of essential infrastructure. The signal is clearest in transaction flow. The $40 billion acquisition of Aligned Data Centers, backed by a consortium that includes Nvidia, Microsoft, BlackRock's Global Infrastructure Partners, MGX, and xAI, is moving toward first-half 2026 close. On April 14, Blackstone filed additional groundwork for a new $2 billion data center REIT IPO, building on its existing development pipeline. Privately held developer T5 is raising roughly $2 billion of new equity for its build sites. Three deals, three different structures, all pointing to the same conclusion: the capital stack for data centers has diverged from the one investors and operators used two years ago.

For business owners along the data center supply chain (power, cooling, generators, structural engineering, fiber, site development, specialty contracting), the shift is already visible in how buyers evaluate adjacent assets. For operators and developers considering a sale, it is reshaping the frame of reference entirely.

What Has Changed in the Capital Stack

The traditional data center valuation model relied on three inputs: long-dated lease contracts with investment-grade tenants, a utility-style cost of capital, and stabilized occupancy. That model still applies to legacy colocation facilities. It does not fit the AI-era facility that is being financed today.

Two structural changes are doing the work. The first is power. The facilities now commanding premium capital are ones that already control large, committed power interconnects (often hundreds of megawatts per site). Power availability, not square footage, sets the effective supply ceiling. Where interconnect queues have stretched to five or seven years in major markets, a site with firm capacity trades at a multiple unrelated to the construction cost of the building itself.

The second is tenant concentration and credit exposure. A next-generation AI facility is typically underwritten against a small number of hyperscale counterparties with enormous dense-GPU workloads. That profile produces revenue predictability in some scenarios and concentration risk in others. Private credit lenders, infrastructure funds, and equity investors are pricing that combination differently than they priced retail colocation ten years ago.

The asset has stopped being a building with servers in it. It has become a power contract with a building wrapped around it.

Why Traditional Valuation Frames Break

A standard commercial real estate valuation compares the subject property to nearby recent transactions and adjusts for condition, tenancy, and cap rate. Applied to AI-era data centers, that method produces misleading answers in both directions. A generic suburban data center with two-megawatt capacity and no expansion runway trades at one set of multiples. A power-secured campus with 300 megawatts of committed interconnect and a development path to a gigawatt trades at another, often several turns higher on a capacity-adjusted basis.

The implication for owners and operators is that benchmarking an AI-capable facility against published cap rates will understate value. The implication for passive investors is that benchmarking against the same cap rates will overstate risk-adjusted return if the facility does not actually have the power and cooling to serve the workloads buyers assume.

The more useful valuation lens today blends three reference points: the implied value of the power interconnect itself, the cost of replicating the site with a new interconnect queue, and the long-run cash-flow profile under a specific counterparty scenario. Transactions are increasingly priced closer to the midpoint of those three, rather than to a single cap rate.

The Capital Flow Signal

The flow of money is the clearest evidence of the shift. McKinsey's current estimate puts cumulative global data center spend on a path toward $7 trillion by 2030. The Preqin data shows private infrastructure deals in data centers consistently above $10 billion each through 2025, and the Aligned transaction now resets that ceiling. Blackstone's planned REIT structure is noteworthy because it is designed to re-open the public-market access point for infrastructure investors who have been concentrated in private funds. If priced successfully, it signals an emerging public-private liquidity bridge that has not previously existed at scale in this asset class.

Private credit is also flowing into the sector differently than it did into traditional real estate. Direct lenders are underwriting against operational cash flow rather than stabilized cap rates, and some are offering development financing on terms previously reserved for investment-grade sponsors. Owners negotiating financing in 2026 should expect lender term sheets to look more like project finance than like commercial real estate lending, with covenants built around power delivery milestones and tenant contract ramps.

For business owners whose revenue touches data center build-outs directly or indirectly, the capital surge has two practical consequences. One is that demand visibility has extended meaningfully; committed development pipelines at major sponsors run multi-year, and service providers with disciplined capacity can lock in multi-year contracts at better terms than they would have seen pre-2024. The other is that the buyer universe for those service providers has expanded. Infrastructure sponsors, hyperscaler-linked strategics, and specialized industrial aggregators are all now looking at specialty mechanical, electrical, and controls businesses as platform-adjacent acquisitions.

A specialty mechanical services firm with clean financials, $15 million to $40 million of EBITDA, and documented data center exposure may find itself fielding inbounds it would not have received five years ago. Readiness still determines pricing. The businesses that will attract the strongest outcomes are the ones that can cleanly separate data center revenue from other commercial work, document project margins, and articulate the backlog in terms a sponsor's investment committee can re-forecast.

The Forward Look

Three developments are worth watching through the second half of 2026. The first is whether Blackstone's data center REIT prices on plan and whether additional sponsors follow with similar vehicles. If the public market reopens to this asset class, the cost of capital for large developers falls meaningfully and transaction activity continues to accelerate. The second is interconnect policy: utilities and grid operators in Texas, Virginia, and the Upper Midwest are experimenting with new processes for prioritizing large loads, and changes there will affect land values within a thirty-mile radius of major substations. The third is the development timeline for purpose-built AI facilities versus retrofitted legacy sites. If the premium for purpose-built capacity continues to widen, the economics of acquiring and repositioning older facilities get squeezed.
